TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern all services provided by West Wales Web Design, a trading name of Padlock Digital LTD, registered in England and Wales, Company Number 13406407, registered address 69 Glebelands, Hakin, Milford Haven, Pembrokeshire, SA73 3QU (“we”, “our”, “us”).
By engaging our services, you (“the client”, “you”, “your”) agree to these Terms in full.

1. Services
We provide website design, development, hosting, maintenance, and related digital services as outlined in individual project proposals or invoices. Any additional work outside of the agreed scope will be quoted and billed separately.

2. Project Process & Client Responsibilities

  • You agree to provide all necessary materials (text, images, brand assets, logins, etc.) in a timely manner.

  • Delays in supplying required content may extend delivery timelines.

  • All content provided by you must be owned by you or licensed for use. We accept no responsibility for copyright infringements arising from materials supplied by you.

3. Design Fees & Payment

  • All website design fees are 100% payable in advance before work begins.

  • Design fees are non-refundable once payment has been received, regardless of whether the project is completed, cancelled, or delayed by you.

  • Invoices must be paid within the timeframe stated. Late payments may result in delays or suspension of work.

4. Hosting & Maintenance Packages

  • If you take our hosting and/or maintenance package, there is a minimum 12-month contract.

  • After the initial 12 months, the contract becomes rolling and can be cancelled by providing 90 days’ written notice.

  • Hosting fees are payable in advance. Failure to pay may result in suspension or termination of your hosting services.

  • We will take reasonable measures to ensure server uptime and security, but we do not guarantee uninterrupted service and cannot be held liable for downtime beyond our control.

5. Domain Names

  • Domain names are purchased on behalf of the client, and the client will be the legal owner once all related fees are paid in full.

  • If the client cancels hosting or services with us, they are liable for any ongoing domain renewal fees if they wish to keep the domain.

  • Renewal reminders will be sent to the contact details you provide; however, you are ultimately responsible for ensuring timely renewal.

6. Intellectual Property

  • Upon final payment, the website design and code (excluding licensed software, stock assets, and plugins) will be transferred to you.

  • Licensed products such as Elementor Pro, themes, or stock images remain under our developer licence while you are hosted with us. If you move your website away, you will need to purchase your own licences.

7. Amendments & Additional Work

  • Two rounds of design revisions are included in your package unless otherwise stated. Additional changes will be charged at our hourly rate.

  • Work requested outside the agreed scope will be quoted separately.

8. Limitation of Liability

  • We are not liable for any loss, damage, or business interruption caused by website downtime, hacking, data loss, or any third-party failures.

  • While we make every effort to secure your site, ultimate responsibility for backups and security lies with you unless you are on our managed hosting package.

9. Cancellation

  • For hosting services: see Section 4.

  • For design projects: once work has started, design fees are non-refundable.

  • Where the client elects to cancel services, requests to move their website away from our hosting, or provides notice to terminate their hosting or maintenance agreement, a £50 administration and offboarding fee will be applied and added to the final invoice. This fee covers administrative work, account closure, migration preparation, and service termination processing.

10. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
